Laura Feliz focuses her practice primarily in Corporate and Commercial Law, assisting in the purchase and sale of companies, capital management and investment funds management, dissolution processes, liquidations, and cease of businesses. She handles with great expertise the incorporation and structuring of Trusts, and the creation and organization of trust funds. Laura represents and advices local and international clients in corporate transactions, mergers, acquisitions, financing, and demergers.
Additionally, she works with Banking Law in project financing, guarantees, leasing contracts, with Intellectual Property law in registration and renewal of commercial names, trademarks and logos, and with Real Estate law assisting with the purchase and sale of estates and real estate companies, elaboration of leasing contracts, and with the incorporation of condominiums and real estate complexes.
Ms. Feliz has worked in the installation and maintenance of commercial companies of foreign investment in Dominican Republic, advising in the increase and reduction of their capital, in tax matters associated with their specific industry, and participating in the instrumentation of their assembly minutes and their board of directors’ minutes, among other services.
For over ten years she was in charge of the corporate department of one of the most important law firms in the country, assisting primarily clients from U.S., Spain, Mexico, and Venezuela. There, she coordinated the tasks of the whole team, working almost every aspect of corporate law from the incorporation, transformation and adaptation of commercial companies, preparation of annual assemblies, elaboration of commercial contracts, incorporation of offshore companies in several countries of Central America and the Caribbean, obtainment of commercial permits for foreign companies, business ceasing processes, dissolution and liquidation of companies, and corporate restructurings.
Laura Feliz earned her Bachelor of Laws from the prestigious Pontificia Universidad Católica Madre y Maestra, where three years later she obtained her Master’s in Corporate and Business Law. In addition to this, Laura received training on trust companies from the Latin American Banking Federation, BanColombia, Instituto Tecnológico de Monterrey in Santo Domingo and the Trust Alliance of Colombia. She has lectured on various seminars and courses on the new Trust Law in Dominican Republic, General Corporation Law and about the Reorganization of Companies: Transformation, Mergers, and Demergers.
